These Terms & Conditions (the “Terms”) govern your use of the Verdun security monitoring platform and the website at verdun.ai (collectively, the “Services”), operated by Enari Inc. (dba Verdun) (“Enari,” “Verdun,” “we,” “us,” or “our”). By using the Services, you agree to these Terms.
Consent to receive text messages is not a condition of purchase and is not required to use the Services. The SMS messaging program described in Section 1 is a separate, optional program that you join only by affirmatively opting in. Agreeing to these Terms, creating an account, purchasing or using Verdun monitoring, or completing any transaction with us does not enroll you in text messages and does not constitute consent to receive them. Declining text messages has no effect on your access to the Services.
1. SMS Messaging Program Terms
Voluntary participation. Participation in the SMS program is entirely voluntary and separate from your use of the Services. Consent is collected per individual through the opt-in form at verdun.ai/sms-opt-in, never inferred from a service contract, an account, or a site’s monitoring agreement. You may decline, or withdraw consent at any time, and continue using the Services without change.
Program description. When you provide your mobile phone number and consent to receive text messages, Verdun sends SMS notifications relating to security events and operational alerts (for example, alarm notifications and status updates) for the sites you are associated with. This is a transactional account-notification program; we do not send marketing or promotional text messages.
Message frequency. Message frequency varies and depends on the level of security activity at your monitored sites.
Message and data rates. Message and data rates may apply. Such charges are billed by and payable to your mobile service provider. Verdun does not charge for the text messages themselves.
Opt out. You can cancel the SMS service at any time by replying STOP to any message. After you send STOP, we will send a one-time confirmation message and will not send any further text messages unless you opt back in.
Help. For help, reply HELP to any message or contact us at support@verdun.ai.
Carriers. Carriers are not liable for delayed or undelivered messages. Delivery of messages is subject to effective transmission by your mobile service provider and is not guaranteed.
Privacy. Mobile information and SMS opt-in data are never shared with third parties or affiliates for marketing or promotional purposes. For details on how we handle your information, see our Privacy Policy.
2. Use of the Services
You may use the Services only in compliance with these Terms and all applicable laws. You agree not to misuse the Services, interfere with their operation, attempt to access them by unauthorized means, or use them to violate the rights of others.
3. Accounts
You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. Notify us promptly of any unauthorized use.
4. Intellectual Property
The Services, including all software, content, and trademarks, are owned by Enari or its licensors and are protected by applicable intellectual property laws. These Terms do not grant you any right, title, or interest in the Services other than the limited right to use them as permitted here.
5. Disclaimers
The Services are provided “as is” and “as available” without warranties of any kind, whether express or implied, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Services will be uninterrupted, error-free, or that notifications will be delivered without delay or failure.
6. Limitation of Liability
To the maximum extent permitted by law, Enari and its affiliates will not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or data, arising out of or related to your use of the Services, even if we have been advised of the possibility of such damages.
7. Changes to These Terms
We may update these Terms from time to time. When we do, we will revise the “Effective” date above. Your continued use of the Services after changes take effect constitutes acceptance of the updated Terms.
8. Governing Law
These Terms are governed by the laws of the State of California, without regard to its conflict-of-laws principles, except where preempted by applicable federal law.
